WE WILL POST ANY CHANGES TO THESE TERMS OF USE IN A NOTICE OF THE CHANGE AT THE BOTTOM OF OUR WEB PAGE WITH A HYPERLINK THERETO. PLEASE REGULARLY REVIEW THESE TERMS OF USE. NOTWITHSTANDING IF YOU CONTINUE TO USE OUR SERVICES (AS DEFINED BELOW), YOU ARE BOUND BY ANY CHANGES THAT WE MAKE TO THESE TERMS OF USE.
These Terms of Service ("Agreement" or "Terms of Service") are a legally binding agreement between you (the "User," "you," or "your") and 100FT Innovations ("100FTInnovations," "we," "us," "our"). You acknowledge and agree that your use of our Services (as defined below) will be governed by this Agreement, our Privacy Policy and any related terms.

Your use of our Services (as defined below) shall constitute your acceptance of this Agreement and to all of the terms and conditions stated under this Agreement and our Privacy Policy referenced herein.
PLEASE READ THE TERMS CONTAINED IN THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. PLEASE NOTE THAT THESE TERMS CONTAIN A BINDING AND MANDATORY ARBITRATION PROVISION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS AND LIMITS REMEDIES AVAILABLE TO YOU IN THE EVENT OF CERTAIN DISPUTES.
BY ACCEPTING THIS AGREEMENT, EITHER BY CLICKING A BOX INDICATING YOUR ACCEPTANCE OR BY USING AND NAVIGATING THROUGH OUR APP, YOU AGREE THAT (A) YOU HAVE READ AND UNDERSTOOD THE AGREEMENT; (B) YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD; (C) YOU CAN FORM A BINDING CONTRACT; AND (D) YOU ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS AS WELL AS OUR PRIVACY POLICY https://100ft.social/privacy-policy.html REFERENCED HEREIN.
Capitalized terms not defined herein shall have the same meaning ascribed to them under our Privacy Policy.
1. Introduction
The Terms of Use, read along with our Privacy Policy, is issued by 100FT Innovations ("100FTInnovations," "we," "us," or "our"), for access or usage of our social application (the "App") that allows users to anonymously share photos, videos, and text. The App also records location of each post so other users can locate content on the map (collectively referred to as "Services").
Please read these Terms of Use carefully to understand our policies and practices. By accessing or using our Services, you agree to accept all the terms contained in these Terms of Use. If you do not agree with the Terms of Use, please do not access and use our Services.
2. Privacy Policy
Our Privacy Policy describes how we handle the personally identifiable information you provide to us when you use our Services. You understand that through your use of our Services, you consent to the collection, storage, processing, and use of the personally identifiable information, including the transfer of this information to the US and/or other countries for storage, processing and use by 100FTInnovations and our affiliates.
3. User Account
In order to access or use the App, (a) you must be 18 years of age or older and have the requisite power and authority to enter into these Terms of Use, (b) are not currently restricted from accessing our Services, (c) are not our competitor or using our Services for reasons that are in competition with us; (d) will only maintain one registered account at any given time; (e) have full power and authority to enter into this Agreement; (f) will not violate any of our rights, including intellectual property rights; and (g) agree to provide all equipment, browser software, and internet access necessary to use our Services.
You will not be required to add any identifiable information for registration. Upon registration, you will be provided with an account ("User Account"). You shall be responsible for any activities that occur in connection with your User Account.
4. Services
a. The App is a social mobile application that allows users to anonymously share photos, videos, and text, and records location of each post so other users can locate content on the map.
b. Privacy and Security: We work to protect the privacy and security of our Services, including appropriately dealing with abusive users and activity violating our Terms of Use. If we learn of such Users or activity, we will take appropriate action by removing such Users and/or activity.
c. In the unlikely event that there exists any difficulty, restriction, or obstruction while availing the Services on the App, the User may contact the assigned Grievance Officer and specify their concern(s).
d. If you feel you or anyone else is in immediate danger, please contact your local emergency services.
5. Service License
Subject to your compliance with the terms of this Agreement, we grant you a limited, non-exclusive, revocable, non-transferable license to access and use our Services for your personal use strictly in accordance with this Agreement.
YOU AGREE THAT WE ARE NOT LIABLE FOR ANY DAMAGES OR INJURY RESULTING FROM YOUR ACCESS OR USE OF OUR SERVICES. WE PROVIDE NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR WARRANTY OF MERCHANTABILITY.
6. Fraud and Improper Conduct
You may only access the App for availing the Services that we offer. You are solely responsible for the knowledge of and adherence to any and all laws, rules, and regulations pertaining to your use of the Services. You agree that you will not host, display, upload, modify, publish, transmit, store, update, or share any information that:
a. belongs to another person and to which you have no right;
b. is obscene, pornographic, pedophilic, invasive of others' privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, or relating to or encouraging money laundering or gambling;
c. is harmful to a child;
d. infringes any patent, trademark, copyright, or other proprietary rights, or communicates misinformation that is patently false and misleading;
e. threatens the unity, integrity, defense, security or sovereignty of any state, or causes incitement to the commission of any cognisable offence;
f. violates any law for the time being in force;
g. interferes with the ability of others to access or use the App and the Services.
7. Required Conduct
a. Comply with all applicable laws, including tax laws, export control laws, and regulatory requirements;
b. Provide accurate information to 100FTInnovations and update from time to time as may be necessary;
c. Review our Privacy Policy; and
d. Review and comply with notices sent by 100FTInnovations concerning our Services.
8. Prohibited Conduct
a. Duplicate, license, sublicense, publish, broadcast, transmit, distribute, perform, display, sell, rebrand, or otherwise commercially exploit our Services;
b. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for any underlying intellectual property;
c. Use information obtained from our Services to provide any service that is competitive with us;
d. Imply or state that you are affiliated with or endorsed by 100FTInnovations unless you have a written agreement with us;
e. Adapt, modify, or create derivative works based on our Services or technology;
f. Rent, lease, loan, trade, or sell/re-sell access to our Services;
g. Use manual or automated software, scripts, robots, or other means to "scrape," "crawl," or "spider" any web pages;
h. Engage in any action that interferes with the proper working of our infrastructure or places an unreasonable load on it;
i. Remove any copyright, trademark, or other proprietary rights notices from our Services;
j. Use any information obtained from our Services to harass, abuse, or harm another user; or
k. Engage in any action or promote any content that is harmful, offensive, illegal, unlawful, discriminatory, dangerous, profane, or abusive.
9. Obligations of the User
You agree to immediately notify us of any unauthorized use of your account information or any other breach of security. We shall not be liable for any loss or damage arising from your failure to comply with this clause.
10. Intellectual Property Rights
a. Copyright. All content included in the App, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, code, and software, is the property of 100FTInnovations and is protected by applicable intellectual property laws.
b. Trademarks. The name '100ft' and '100FTInnovations', logos, button icons, images, scripts, and service names constitute trademarks/trade dress of 100FTInnovations and shall not be used in connection with any service that is not affiliated with 100ft or 100FTInnovations.
c. Warranty for your submission. As between you and 100FTInnovations, you own the information you provide to us, and you may request its deletion at any time.
11. Suspension or Termination
We may suspend or terminate these Terms of Use immediately, without notice, in the event of any breach by you of these Terms of Use. You may terminate these Terms of Use at any point in time for any Services yet to be availed by you.
12. Modifications to our Terms of Use
We reserve the right to make changes to these Terms of Use at any time. Any such modification will become effective immediately upon posting, and your continued use of the Services constitutes your consent to such modifications.
13. 100FTInnovations Communications
You understand and agree that you may receive information and push notifications from 100FTInnovations via our App. Content on 100ft is managed by other users, their administrators, who may publish their own content featuring third-party promotions or sponsorships.
Email Contact: When you send us a query email at hello@100ft.social, you are providing us with consent to send emails to you for replying to your queries. By providing your email address, you agree with these Terms of Use and our Privacy Policy.
14. Payment
Our Website and App are currently provided to you at no cost. In the event that we change this in the future, we will communicate such modification to you as per the procedure detailed under Section 18 or as otherwise specified in another agreement between 100FTInnovations and you.
15. Indemnification
You agree to indemnify, defend, and hold 100FTInnovations and our officers, employees and directors harmless from and against any and all costs, liabilities, losses and expenses resulting from any claim, suit, action, demand or proceeding brought by any third party arising from: (i) breach of this Terms of Use or our Privacy Policy; (ii) any negligence, fraud, or wilful misconduct by you; (iii) incorrect information provided by you; or (iv) failure by you to comply with applicable laws.
16. Disclaimers
Your access to and use of our Services or any content are at your own risk. Our Services are provided to you on an "AS IS" and "AS AVAILABLE" basis. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
100FTINNOVATIONS DOES NOT REVIEW, VERIFY, REVISE, ENDORSE, OR OTHERWISE APPROVE ANY CONTENT CREATED OR POSTED BY OUR USERS. UNDER NO CIRCUMSTANCES WILL 100FTINNOVATIONS BE LIABLE IN ANY WAY FOR ANY CONTENT CREATED OR POSTED BY OUR USERS.
17. Limitation of Liability
In no event will 100FTInnovations be liable to you or any third party for any indirect, punitive, exemplary, incidental, special, or consequential damages arising out of these Terms of Use, or the use of, or the inability to use, our Services. In the event the foregoing limitation of liability is determined by a court of competent jurisdiction to be unenforceable, the maximum liability for all claims of every kind will not exceed USD 1000.
18. Copyright Infringement / DMCA Notice
If you believe that any content on our Services violates your copyright, the following information must be provided to our designated Copyright Agent: (a) your physical or electronic signature; (b) identification of the copyrighted work(s) claimed to have been infringed; (c) identification of the infringing material and request for removal; (d) sufficient information to locate such material; (e) your address, telephone number, and email address; (f) a statement of good faith belief that use of the material is not authorized; and (g) a statement that the information in the notification is accurate.
19. Assignment
These Terms of Use are only for your benefit. You shall have no right to assign any rights or benefits hereunder to any other party or legal entity.
20. Anti-Bribery and Export Compliance
You agree not to use, distribute, transfer, provide, sub-license, or otherwise offer our Services in violation of any laws, including the United States Foreign Corrupt Practices Act, the UK Bribery Act, and similar anti-corruption statutes.
21. Modifications
We will post any changes to these Terms of Use at the bottom of our Website. Please regularly review these Terms of Use. If you continue to use our Services, you are bound by any changes we make.
22. Relationship of Parties
The parties hereto are independent contractors, and nothing contained herein shall be interpreted as creating any relationship other than that of independent contracting parties.
23. General
Unless otherwise specified herein, these Terms of Use constitute the entire agreement between you and 100FTInnovations in respect of the Services, superseding all previous written and oral agreements.
24. Severability
If any term of this Terms of Use is held invalid or unenforceable, it will be so held to the minimum extent required by law, and all other terms will remain valid and enforceable.
